(“PADI Travel”, “PADI Adventures”, “travel.padi.com”, “PADI Adventures App”, “we”, “us” and/or “our”) maintains the website (“Site”) located at travel.padi.com, including any other travel.padi.com branded web sites and apps owned and controlled by us as a service to our users and visitors. Our Site and the services we offer, both through the Site, our travel agents, online booking system (the “Online Booking System”) and otherwise are referred to, collectively as the “PADI Travel Platform”. By using the PADI Travel Platform, you agree to comply with and be legally bound by the following terms of use ("Terms"). Please review the following terms carefully. If you do not agree to these terms, you have no right to obtain information from the Site or otherwise continue using the PADI Travel Platform. Failure to use the PADI Travel Platform in accordance with the following terms of use may subject you to civil and criminal penalties.

'The PADI Travel Platform is offered to you conditional upon your acceptance without modification of all the terms, conditions, and notices set forth below (collectively, the “Terms of Use” or “Agreement”). Please read these Terms of Use carefully as they contain important information about limitations of liability and resolution of disputes through arbitration. 3. SCOPE OF SERVICE

3.1 PADI Travel acts solely as an intermediary between you and the Service Provider, and through the PADI Travel Platform enables you to make a Booking with the Service Provider.

3.2 Bookings created through the PADI Travel Platform will constitute a direct contract between you and the Service Provider in accordance with the terms and conditions set out in the Booking, including but not limited to fees, costs, charges and taxes, and any cancellation or no-show charges (the “Service Provider Terms”). You are solely responsible for reading and understanding the Service Provider Terms prior to making a Booking.

3.3 The Service Providers on the PADI Travel platform are not agents or employees of PADI Travel or of its parent company or any affiliate. PADI Travel is not liable for the acts, errors, omissions, representations, warranties, breaches, or negligence of any such Service Providers or for any personal injuries, death, property damage, or other damages or expenses resulting therefrom. PADI Travel has no liability in the event of any delay, cancellation, overbooking, strikes, force majeure, or other causes beyond PADI Travel’s direct control, and PADI Travel has no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority.

3.4 PADI Travel does not charge you for the use of PADI Travel Platform.

3.5 Information displayed on the PADI Travel Platform (e.g., description of services, images, and videos) is based on information provided to PADI Travel by the Service Provider (the “Service Provider Information”). PADI Travel does not guarantee that the information is reliable, accurate, up-to-date, complete, or free from errors.

3.6 PADI Travel does not endorse any of the Service Providers and makes no representations with respect to the affordability, quality, safety, or suitability of the Service Providers, their infrastructure and equipment, nor their ability to deliver the Services.

3.7 The order in which information is displayed on the PADI Travel Platform does not constitute an endorsement of any Service Provider.

3.8 PADI Travel will offer the opportunity for customers to comment on all aspects of the Services and may post such reviews on the PADI Travel Platform at its sole discretion.

4 Bookings

4.1 Where some itinerary and dive-area related information is provided by the Service Provider, this should be considered as sample only and is not binding by the Service Provider. At all times, the Service Provider may choose to take a different route or visit a specific dive area based on weather conditions, specific requests by customers, acts of God, force majeure or for any other reason.

5 Payment

5.1 All fees, costs, charges, and taxes with respect to Services are payable to PADI Travel in the currency indicated in the booking confirmation. Some Travel Products may be sold in another currency than the one preset or chosen by you on the Site. Our currency conversion is for informational purposes only and should not be relied upon as accurate or real-time; actual rates may vary, and your payment provider (e.g., your credit card company or bank) may charge conversion or other fees and apply another date’s currency rate. PADI Travel does not charge extra fees for currency exchange.

6 CANCELLATION

6.1 Each Service Provider sets their own cancelation policy and therefore different cancellation policies may apply to services booked and by making a booking, you agree to the Service Provider’s specific cancellation policy. To process a refund of a trip, PADI Travel needs confirmation from the Service Provider to proceed with such refund. A no-show for a booked trip, course or activity is the same as a cancellation and no refund applies.

6.2 It is ultimately up to the Service Provider, which are independent businesses from PADI Travel, to make their own decisions on offering refunds or rescheduling options outside of the standard terms and conditions as set out in the booking – including but not limited to supplier cancellations, force majeure events.We strongly encourage you to review the Service Provider’s terms including but not limited to its cancellation policy.

6.3 Bookings may not be eligible for the 48-hour free cancellation period as referenced on the platform depending on the booking details, including but not limited to booking date and travel dates.

7. SPECIAL CIRCUMSTANCES

7.1 The Service Provider reserves the right to cancel a booking, or suggest providing Services at an alternative date in the event that conditions, including but not limited to, poor weather, acts of god, volcanic eruptions, tornado, tsunami, flood, natural disaster, fire, acts of war, riots, pandemics, epidemics, and government actions resulting from a pandemic or epidemic, or other circumstances make it unsafe or impractical to provide Services at the date(s) specified in the booking confirmation.

7.2 The Service Providers are independent businesses from PADI Travel and have the right and responsibility to make their own decisions with regard to offering refunds or rescheduling options when they deem a cancellation or rescheduling necessary. If a refund applies in relation to a canceled booking, the costs to be paid or reimbursed to you by PADI Travel shall be limited to the actual amounts paid by you to PADI Travel in relation to the canceled booking.

7.3 PADI Travel shall not be held responsible for indirect or ancillary costs including but not limited to airfare, or any other expenses. PADI Travel strongly recommends taking out private travel insurance.

8. RESPONSIBILITY

8.1 By booking Services through the PADI Travel Platform you agree that you have reviewed the prerequisites of the Service Provider, including but not limited to minimum diving experience and certification requirements, diving insurance requirements, personal information that the Service Provider requires you to provide and forms that the Service Provider requires you to sign, such as Medical Statement, Liability Release or Assumption of Risk Agreement forms, as applicable.

8.2 You acknowledge that most Service Providers offering services and/or activities such as scuba diving may require you to sign their liability waiver, medical release forms and other forms prior to participating in the service and/or activity they offer. You understand that any violation of any such Service Provider’s rules and restrictions may result in cancellation of your reservation(s), in you being denied access to the product or services you booked, and in you forfeiting any monies paid for such reservation(s). Such waivers may be provided by the Service Providers either at the start or during the trip or the performance of the activity.

8.3 You are responsible for understanding and complying with the stated prerequisites, and PADI Travel advises you to enquire about the prerequisites prior to making a booking. PADI Travel may request you to sign off on our standard release and liability forms prior to your trip date. Failure to comply with the requirements may result in your inability to use the Services, and cancellation fees may apply.

8.4 You are solely responsible for ensuring that you meet foreign entry requirements for the countries of travel and that your travel documents, such as passports and visas, are in order, and any other foreign entry requirements are met. PADI Travel urges customers to review travel prohibitions, warnings, announcements, and advisories issued by the relevant governments prior to booking travel to international destinations.

9. PROMOTIONS

9.1 Promotion codes may be applicable to qualifying Services on the PADI Travel Platform. Instructions on how to redeem promotional codes and the specific terms related to each code may vary and will be set out in applicable terms. We reserve the right to modify or cancel promotion codes at any time. Any promo or discount applied must be confirmed by the Service Provider.

9.2 Periodically, PADI Travel may introduce special offers related to the services available on its platform, each governed by distinct payment and cancellation terms. Customers are advised to carefully review and fully understand the terms and conditions presented in the pop-up box on the service description page.

9.3 Promotion details vary for each promotion. The terms of the promotion are determined by the operator and may differ from the operators’ normal terms. Current promotions may not be applied to previously confirmed bookings.

10. PRIVACY POLICY

10.1 Please click here to review the PADI Privacy Policy, which also applies to your use of the PADI Travel Platform, and is incorporated, by reference, to provide you with an understanding of our practices.

11. LIABILITY DISCLAIMER

11.1 PADI Travel makes no warranty, representation, or guarantee, expressed, implied or statutory, with respect to the PADI Travel Platform, the Service Provider Information, the Service Provider Terms, the Services or otherwise. In no event will PADI Travel or its affiliated companies, directors, employees, agents, or contractors (the "Representatives") be liable for any cost, loss, damage, or injury whatsoever (including but not limited to personal injury or death, punitive damages, direct or indirect damages, and consequential damages) and including without limiting the generality of the foregoing, cost, loss, damage, or injury related to:

11.2 PADI Travel cannot be held liable for and will not accept responsibility for personal injuries, property damage, or wrongful death that may occur during activities, because of the inherent risks associated with scuba diving, freediving, snorkeling, or any activity offered by the Service Provider or because of acts or omissions by third parties. PADI Travel strongly recommends that you purchase a dive accident policy or ensure that scuba diving, freediving, snorkeling, or any activity offered by the Service Provider is included in your standard travel insurance.

12. INDEMNIFICATION

12.1 You agree to defend and indemnify PADI Travel, its parent companies, affiliates and subsidiaries, and any of their officers, directors, employees, and agents from and against any and all claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature, including, but not limited to, reasonable legal and accounting fees, brought by third parties as a result of :

13. LEGAL STRUCTURE AND GOVERNING LAW

13.1 PADI Travel AG is a company duly incorporated pursuant to the laws of Switzerland. These Terms of Service shall be construed in accordance with the laws of Switzerland.

13.2 We are committed to customer satisfaction, so if you have a problem or a dispute with the services provided by PADI Travel, we will try to resolve your concerns. You agree to give us an opportunity to resolve any disputes or claims relating in any way to the PADI Travel Platform, any services or products provided, any representations made by us or our Privacy Policy (“Claims”), by contacting PADI Travel Customer support at travelteam@padi.com for bookings including accommodation and diving services and padiadventures@padi.com for any bookings of single scuba diving and snorkeling activities (i.e. without accommodation). If we are not able to resolve your Claims within 60 days, you may seek relief through Arbitration according to Chapter 12 of the Swiss Private International Law Act (PILA) for international arbitration also known as the Swiss Arbitration Act. All claims will be finally and exclusively resolved by binding arbitration, rather than in court.

SECTIONS 14-20: PERTAINING TO HOLIDAY PACKAGES WHICH INCLUDE ACCOMMODATION AND SCUBA DIVING/SNORKELING ACTIVITIES

14. BOOKINGS

14.1 Bookings made online through the PADI Travel platform are subject to the availability of the requested Services by the Service Provider. The availability displayed via the PADI Travel Platform is not live, therefore confirmation from the Service Provider will be required once the booking is made. This may take 24 to 48 hours. Bookings are only confirmed once a confirmation email including a confirmation invoice, or a voucher has been sent to you and a deposit has been paid. PADI Travel advises you to make other related travel arrangements, including but not limited to flight arrangements, only after bookings are confirmed.

14.2 PADI Travel is responsible for the correct execution of the reservation process, but not for the product supplied by the Service Provider. In some cases, additional information, including but not limited to passport copies, evidence of guest insurance, health certificates, etc. are required by PADI Travel to make a booking complete. You are required to provide this information as detailed as possible within 12 hours of making the booking for all the guests covered under the booking, and/or as required by the Service Provider. PADI Travel and/or the Service Provider hold the right to cancel the booking in case this information is not provided by you or is provided too late.

14.3 When a reservation is made on the PADI Travel Platform, it is initially placed under a temporary hold. The duration of this hold varies based on the specific terms and conditions of each service provider. The hold may be removed at the discretion of the PADI Travel agents and/or in accordance with the Service Provider's terms, particularly if a deposit is not received on time.

14.4 If for any reason you are delayed in transit and fail to reach a location, an accommodation, liveaboard, cruise or other boat by the scheduled time of departure, you are responsible for all costs associated with continuing your trip or making alternative trip arrangements.

15. AVAILABILITY

15.1 Services displayed on the Site are available for booking and subject to confirmation.

15.2 For Services quantified in days, the Service Provider agrees to provide such services in strict accordance with the dates specified in the booking.

15.3 The Service Provider reserves the right to confirm or reject availability upon receiving the booking.

16. PRICES

16.1 Unless otherwise indicated in the Service Provider Terms, all rates and prices listed through the PADI Travel Platform include the cost of the base service, excluding mandatory surcharges, taxes, and levies. Unless indicated otherwise, mandatory surcharges, including surcharges for national parks, boat dives, night dives, special trip supplements or dive gear beyond tanks, weights, and weight belt, are not included in the prices listed through the PADI Travel Platform.

16.2 Taxes and levies (“Surcharges”), if applicable, are indicated in the PADI Travel Platform during the checkout process for informational purposes. These Surcharges may be subject to change after the booking has been completed based on changes in local conditions beyond PADI Travel’s control. A change in Surcharges does not give you the right to cancel a booking or the right to a refund.

17. PAYMENT

17.1 For Bookings made with payment methods whose details can be stored (e.g. credit cards), once you make a booking using the PADI Travel Platform, PADI Travel may pre-authorize your payment method, and it will then be charged at or after the confirmation of your booking. The timing and amount of the charge may vary depending on the booking details, including but not limited to booking date and travel dates.

18. BOOKING AMENDMENTS

18.1 Any modifications are subject to operator approval and operators’ terms. The option to modify a confirmed booking is not guaranteed.

18.2 You are required to reach out to us in writing via email, including details of the amendments you require, and we will then reach out to the Service Provider.

18.3 Any changes or modifications to bookings must be mutually agreed upon and accepted by the Service Provider, contingent upon availability; Ultimately it is the Service Provider that establishes whether any amendment fee is applicable and its relevant amount, or whether the amendment can be made free of charge.

19. CANCELLATION

19.1 In order to process a refund of a trip, PADI Travel needs confirmation from the Service Provider to proceed with a refund. Should you start a trip or the performance of an activity and choose not to complete it, no refund applies.

20. RESPONSIBILITY

20.1 Should you not meet the requirements to dive or be fit to dive, you agree to notify us within 12 hours of booking; we will support you in either canceling the booking or finding a viable alternative solution for you. Please note: We will defer to the terms and conditions of the Service Provider.

20.2 Should you qualify for the complimentary DAN dive insurance AND include it in your trip booking, this constitutes a direct contract between you and DAN. You are solely responsible for reading and understanding DAN’s Terms prior to making a Booking.

SECTIONS 21-27: PERTAINING TO SCUBA DIVING, FREEDIVING AND SNORKELING ACTIVITIES AS SINGLE SERVICES

21. BOOKINGS

21.1 When booking scuba diving, freediving, and snorkeling activities as single services, you are required to:

21.2 Upon the booking of a PADI E-learning course, you will receive via email a code for accessing the E-learning material from the Service Provider. In the event that you do not receive the email including the aforementioned E-learning code within 48 hours from booking, you are encouraged to contact either us, at padiadventures@padi.com, or the Service Provider.

21.3 You are expressly discouraged from cancelling bookings made via the PADI Travel Platform with the intent of subsequently making direct bookings with the Service Provider.

21.4 In the event of last-minute inquiries, it is recommended that you contact the Service Provider either via telephone or email.

22. AVAILABILITY

22.1 The availability of services may be either “Instant Confirmation” or “On Request”, as clearly defined in the service description. Instant Confirmation means the booking is confirmed immediately upon completion of the booking process. This option provides immediate confirmation that the service is available on the specified date and time. On Request means the availability of the product is subject to confirmation from the Service Provider. In this scenario, after the initial booking request is made, there may be a waiting period during which the Service Provider reviews the booking request to confirm availability.Customers will receive final confirmation once the Service Provider has verified that the service can be provided as requested.

23.PRICES

23.1 All mandatory costs, taxes and fees related to the service are included in the booking price; however, there may be additional fees including but not limited to National Park fees, that are only payable on-site, and applicable based on the actual performance of the booking.

24.PAYMENT

24.1 For Bookings made with payment methods whose details can be stored (e.g., credit cards), once you make a booking using the PADI Travel Platform, we reserve the right to undertake a pre-authorization procedure, temporarily reserving the amount corresponding to the requested service; the actual withdrawal of funds from your account occurs upon confirmation of the booking by the Service Provider. If the booking is rejected, you will not incur any financial obligation, and the pre-authorized amount will be released.

25. MODIFICATIONS

25.1 Any modifications are subject to the Service Provider’s approval and terms. The option to modify a confirmed booking is not guaranteed.

25.2 For booking amendments, you are required to communicate directly with us via email at padiadventures@padi.com, submitting a clear request. Additional fees may apply.

26. CANCELLATION

26.1 If a booking for courses, fun dives, or snorkeling activities remains unconfirmed, you have the right to cancel it without incurring a cancellation fee.

26.2 Should you find yourself capable of only partially completing a booked activity, you may receive a partial refund, at the sole discretion of the Service Provider. If the Service Provider agrees to facilitate a partial refund for a booked activity, we require confirmation from the Service Provider before processing the refund. For smoother communication, we recommend including our customer service at padiadventures@padi.com in email correspondence with the Service Provider.

27. SERVICES BOOKED VIA THIRD PARTY DISTRIBUTION CHANNELS

27.1 Products and services available on the PADI Travel Platform may also be made available for bookings via third-party distribution channels. In these instances, you are expected to comply with the hereby terms and conditions and the terms and conditions of the third-party distribution channel where the booking has been performed, as applicable.
